Note to Users: These terms apply to your use of Tobi AI ("Service"), provided by VentureT.co ("Company", "we", "us", or "our"). By creating an account or using the Service, you agree to these terms.

PART 1: TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using our Service, you confirm that you can form a binding contract with us, and that you accept these Terms and agree to comply with them. Your access to and use of our Service is also subject to our Privacy Policy.

2. Beta Services Notice

PLEASE READ CAREFULLY: You acknowledge that the Service is currently in a "Beta" phase.

  1. Experimental Nature: The Service may contain bugs, errors, and defects. It may function inconsistently or fail.
  2. Data Loss: We do not guarantee the preservation of any data or content generated during the Beta phase.
  3. Changes: We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

3. AI Services & Disclaimers

Our Service utilizes artificial intelligence technology, including Google Cloud Vertex AI.

  1. Accuracy: AI and machine learning are rapidly evolving. The Service may generate incorrect, offensive, or hallucinated information ("Output"). You must verify all Output for accuracy.
  2. No Professional Advice: The Service is not a substitute for professional advice. Do not rely on the Service for medical, legal, financial, or other professional advice.
  3. User Responsibility: You are solely responsible for how you use the Output and any decisions made based on it.

4. Intellectual Property & Content

  1. Your Content (Input): You adhere to the ownership rights of the text, data, and content you submit ("Input"). You grant us a worldwide, non-exclusive license to host, copy, and use your Input solely to provide the Service to you.
  2. AI Output: Subject to your compliance with these Terms, we assign to you all our right, title, and interest in and to the Output. You are responsible for the Output, including ensuring that it does not violate any applicable law or these Terms.
  3. Feedback: If you provide feedback or suggestions about the Service, we may use such feedback without obligation to you.

5. Acceptable Use Policy

You agree NOT to use the Service to:

  1. Generate content that is illegal, harmful, threatening, abusive, defamatory, obscene, or promotes violence/discrimination.
  2. Reverse engineer, decompile, or extract source code or underlying models of the Service.
  3. Develop competing AI models or services.
  4. Scrape, automate access, or interfere with the Service (e.g., DDoS).
  5. Represent AI-generated content as being wholly generated by a human.

6. Fees and Payment

During the Beta phase, the Service may be offered for free. We reserve the right to charge fees for future use of or access to the Service. You will be notified before any such fees are imposed.

7. Indemnification

You agree to indemnify and hold harmless Tobi AI, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights (including intellectual property rights) through your Input or use of Output.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TOBI AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. FOR FREE USERS, OUR TOTAL LIABILITY SHALL NOT EXCEED $0 USD. FOR PAID USERS, OUR LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE LAST 12 MONTHS.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

11. Governing Law

These Terms shall be governed by the laws of Hong Kong (HK), without regard to its conflict of law provisions.

PART 2: PRIVACY POLICY

1. Information We Collect

  • Account Info: Email, username, credentials.
  • User Content: Your Inputs (prompts, text, voice) and the corresponding Outputs.
  • Usage Data: Device info, IP address, logs, interaction metrics.

2. How We Use Information

  • To provide, maintain, and improve the Service.
  • To process your Inputs via our third-party provider (Google Cloud Vertex AI).
  • To communicate with you about updates or security.
  • To prevent fraud and abuse.

3. AI Data Privacy (Our Commitment)

We prioritize your data privacy regarding AI Training:

  • NO Training on Your Data: We DO NOT use your Inputs or Outputs to train, fine-tune, or improve our proprietary AI models.
  • Third-Party Training: We DO NOT allow our third-party AI providers (e.g., Google) to use your data to train their general foundation models, subject to their enterprise data privacy commitments.

4. Data Sharing

  • Service Providers: We share data with trusted vendors (e.g., Google Cloud, database hosting) solely to operate the Service.
  • Legal: We may disclose info if required by law or to protect rights/safety.
  • Business Transfers: If we are involved in a merger/acquisition, your info may be transferred.

5. Data Security & Retention

We use industry-standard security measures to protect your data. We retain your personal information only as long as necessary to provide the Service and for legitimate business purposes.
